Important Message to GDR Holders

On April 25, 2024, the Moscow Regional Court of Arbitration, following Russian Federal Law No. 470-FZ, issued a ruling that suspended X5 Retail Group N.V.’s shareholder rights in its subsidiary, X5 Corporate Center (X5CC). This decision resulted in the immediate transfer of the Company’s shareholding in X5CC to X5CC itself, leading to the Company’s loss of ownership and control over its key assets in Russia.

Russian holders of the Company’s Global Depositary Receipts (GDRs) were required to assume direct ownership of X5CC shares in proportion to their interest in X5 Retail Group N.V., while non-Russian GDR holders had the option to do so. The deadline for exercising this option was September 3, 2024.

The Company requests all GDR holders that are not X5CC Shareholders and wish to exercise their shareholder rights in the Company going forward, including the right to receive future proceeds, to complete the Declaration Form and return it to the Company either by ordinary mail or to info@x5.com.
